Position Overview
The purpose of this position is to directly perform the work of the Due Diligence Team (DDT) by performing the following duties personally.
This position is hybrid based out of the office in Alpharetta, GA.
Reports to: Manager, Due Diligence Team
Management/Supervision: None
Requirements
- A bachelor’s degree is required.
- A Juris Doctorate degree is required.
- Current license to practice law and admission to at least one state bar
- 5 to 7+ years in entity transactions with particular experience in mergers and acquisitions, and real estate transactions.
- Experience in tax and charitable planning preferred.
- Experience in private equity would be beneficial.
- General knowledge of a charitable complex giving program.
- Thorough knowledge and understanding of legal risk analysis, especially with regard to entity transactions and real estate transactions.
- General knowledge of tax-exempt organization laws, policies and strategies related to a complex giving program, including legal and entity structure and ongoing asset management.
- Computer Skills: experience using MS Office applications, intranet, internet, and legal or tax research materials.
- Proven aptitude for “real time” problem diagnosis and solving.
Duties & Responsibilities
Delivery of Due Diligence Services
- Consistently delivers due diligence services in a competent, highly professional, friendly manner within the DDT service standards, with due regard for the givers’ and National Christian Foundation’s (NCF) well-being and charitable goals.
- Communicates with other Complex Gift Solutions (CGS) team members, Relationship Managers, advisors, givers, the Supporting Organization team and the Complex Gift Annuity team regarding due diligence issues for gifts presented (but in this role refrains from, and disclaims, providing legal, tax, or other professional advice to anyone other than NCF and its ministry affiliates).
- Reviews proposed gift terms and documentation defining the assets proposed to be given to NCF, and documentation and circumstances establishing the obligations and liabilities undertaken by NCF in receiving such assets. Such assets may include, among others, real estate, and/or business interests of partnerships, limited liability companies, or corporations.
- Advises whether and how, and under what conditions, to receive assets proposed to be given to NCF.
- Advises the Asset Management team on legal issues regarding management and sales of gifted assets.
- Reviews, edits, drafts, and negotiates agreements and related documents applicable to holding, leasing, management, operation, marketing, sales, and transfers of assets, and assists in effecting transfers out.
- Drafts, negotiates, and edits gift agreements and related documentation of gifted assets to NCF, and assists in effecting such gifts.
- Scrupulously adheres to all laws and professional ethical rules, including those regarding the unauthorized practice of law and conflicts of interest.

- Carries out such other duties and responsibilities as assigned by the Manager, Due Diligence Team.
